Allgemeine Geschäftsbedingungen der Firma Droste Immobilien AG, nachfolgend AG genannt. 

§ 1 Weitergabeverbot

Sämtliche Informationen einschließlich der Objektnachweise der AG sind ausdrücklich für den Kunden bestimmt. Diesem ist es ausdrücklich untersagt, die Objektnachweise und Objektinformationen ohne ausdrückliche Zustimmung der AG, die zuvor schriftlich erteilt werden muss, an Dritte weiter zu geben. Verstößt ein Kunde gegen diese Verpflichtung und schließt der Dritte oder andere Personen, an die der Dritte seinerseits die Informationen weitergegeben hat, den Hauptvertrag ab, so ist der Kunde verpflichtet, der AG die mit ihm vereinbarte Provision zuzüglich Mehrwertsteuer zu entrichten.

§ 2 Doppeltätigkeit

Die AG darf sowohl für den Verkäufer als auch für den Käufer tätig werden.

§ 3 Eigentümerangaben

Die AG weist darauf hin, dass die von ihr weitergegebenen Objektinformationen vom Verkäufer bzw. von einem vom Verkäufer beauftragten Dritten stammen und von ihr, der AG, auf ihre Richtigkeit nicht überprüft worden sind. Es ist Sache des Kunden, diese Angaben auf ihre Richtigkeit hin zu überprüfen. Die AG, die diese Informationen nur weitergibt, übernimmt für die Richtigkeit keinerlei Haftung.

§ 4 Informationspflicht

Der Auftraggeber (Eigentümer) wird verpflichtet, vor Abschluss des beabsichtigten Kaufvertrages unter Angabe des Namens und der Anschrift des vorgesehenen Vertragspartners bei der AG rückzufragen, ob die Zuführung des vorgesehenen Vertragspartners durch deren Tätigkeit veranlasst wurde. Der Auftraggeber erteilt hiermit der AG Vollmacht zur Einsichtnahme in das Grundbuch, in behördliche Akten, insbesondere Bauakten sowie alle Informations- und Einsichtsrechte gegenüber dem WEG-Verwalter, wie sie dem Auftraggeber als Wohnungseigentümer zustehen.

  

§ 5 Ersatz- und Folgegeschäfte

Eine Honorarpflicht des Auftraggebers gemäß unseren vereinbarten Provisionssätzen besteht auch bei einem Ersatzgeschäft. Ein solches liegt z. B. vor, wenn der Auftraggeber im Zusammenhang mit der von der AG entfalteten Tätigkeit von seinem potenziellen und von der AG nachgewiesenen Hauptvertragspartner eine andere Gelegenheit zum Hauptvertragsabschluss erfährt oder über die nachgewiesene Gelegenheit mit dem Rechtsnachfolger des potenziellen Hauptvertragspartners den Hauptvertrag abschließt oder das nachgewiesene Objekt käuflich erwirbt, anstatt es zu mieten, zu pachten bzw. umgekehrt. Um die Provisionspflicht bei Ersatzgeschäften auszulösen, ist es nicht erforderlich, dass das provisionspflichtige Geschäft mit dem ursprünglich vorgesehenen wirtschaftlich gleichwertig im Sinne der von der Rechtssprechung zum Begriff der wirtschaftlichen Identität entwickelten Voraussetzungen sein muss.

§ 6 Haftungsbegrenzung

Die Haftung der AG wird auf grob fahrlässiges oder vorsätzliches Verhalten begrenzt, soweit der Kunde durch das Verhalten der AG keinen Körperschaden erleidet oder sein Leben verliert.

§ 7 Verjährung

Die Verjährungsfrist für alle Schadensersatzansprüche des Kunden gegen die AG beträgt 3 Jahre. Sie beginnt mit dem Zeitpunkt, in dem die die Schadensersatzverpflichtung auslösende Handlung begangen worden ist. Sollten die gesetzlichen Verjährungsregelungen im Einzelfall für die AG zu einer kürzeren Verjährung führen, gelten diese.

§ 8 Gerichtsstand

Sind AG und Kunde Vollkaufleute im Sinne des Handelsgesetzbuches, so ist als Erfüllungsort für alle aus dem Vertragsverhältnis herrührenden Verpflichtungen und Ansprüche und als Gerichtsstand der Firmensitz der AG vereinbart.

§ 9 Salvatorische Klausel

Sollte eine oder mehrere der vorstehenden Bestimmungen ungültig sein, so soll die Wirksamkeit der übrigen Bestimmungen hiervon nicht berührt werden. Dies gilt auch, wenn innerhalb einer Regelung ein Teil unwirksam ist, ein anderer Teil aber wirksam. Die jeweils unwirksame Bestimmung soll zwischen den Parteien durch eine Regelung ersetzt werden, die den wirtschaftlichen Interessen der Vertragsparteien am nächsten kommt und im übrigen den vertraglichen Vereinbarungen nicht zuwider läuft.

Cancellation policy

You may, but do not have to, use the enclosed sample cancellation form. Consequences of Revocation In the case of an effective revocation, the services received by both sides must be returned and any benefits received (e.g. interest) reimbursed. If it is not possible to return the service provided in part or in full or if it can only be returned in a deteriorated condition, then it is possible that you will have to provide compensation for loss of value. This could mean that you will have to fulfill the contractual payment obligations for the time period leading up to the revocation. Obligations for reimbursing payments must be fulfilled within 30 days. The period begins for you upon dispatch of the notice of revocation and for us upon receipt of the same. Special note: Your right of revocation will expire prematurely if the contract has been executed in full by both parties at your explicit request prior to your exercising your right of revocation.
